Terms & Conditions for The Quick Content Bundles by TPH
These Terms and Conditions (“Agreement”) govern the provision of “The Quick Content Bundles” services by The Production House (“TPH”) to the Client (“Client”). By engaging TPH for The Quick Content Bundles, the Client agrees to be bound by these terms.
1. Services Provided
TPH will provide custom-made batch content as part of “The Quick Content Bundles” for the Client’s brand, which may include a mix of graphic posts, stories, carousels and faceless reels, along with accompanying caption writing, as per the selected bundle (Bronze, Silver, or Gold).
2. Purpose of Content
The content created under The Quick Content Bundles by TPH is primarily intended for use as product/service education and filler posts to maintain an active social media presence. This content is basic in nature and is not designed for comprehensive advertising or branding campaigns. Notwithstanding the foregoing, each bundle will include four (4) pieces of content specifically designed and optimized for promotional use on Meta platforms (Facebook and Instagram).
3. Payment Terms
3.1. A 100% advance payment is required from the Client at the time of order confirmation and before the commencement of any work by TPH.
3.2. TPH will not begin any work or share any deliverables until full payment is received.
3.3. All applicable Goods and Services Tax (GST) will be charged in addition to the quoted service fees.
3.4. All payments made to TPH are strictly non-refundable under any circumstances, regardless of project status or client decisions.
4. Client Responsibilities & Content Submission
4.1. Upon making the advance payment, the Client shall provide TPH with all necessary brand assets, including but not limited to: * Logos * Product photos/videos * Trademarks * Brand guidelines (if any) * Any specific information pertinent to the content creation.
4.2. The Client warrants that they have the necessary rights, licenses and permissions to provide all shared assets to TPH for the purpose of content creation, and that the use of such assets by TPH will not infringe upon the intellectual property rights of any third party.
5. Project Timelines & Deliverables
5.1. TPH commits to delivering the first draft of The Quick Content Bundles within twenty (20) working days from the date of receipt of the advance payment and all required client assets as per Clause 4.1.
5.2. Upon receipt of the first draft, the Client shall have five (5) working days to review the content and provide TPH with any revision requests.
5.3. Each content piece within the bundle is eligible for only one (1) round of revisions. Revision requests must be consolidated and communicated clearly and comprehensively by the Client within the stipulated five (5) working days.
5.4. TPH will complete the agreed-upon revisions and deliver the final content within five (5) working days of receiving the Client’s consolidated revision requests.
5.5. Delays in providing assets or revision feedback by the Client may result in an extension of the delivery timeline, for which TPH shall not be held responsible.
6. Scope of Work & Additional Services
6.1. The Quick Content Bundles are designed for content creation based on existing assets and information provided by the Client. No new photo or video shoots/production are included as part of these bundles.
6.2. Should the Client require photo or video shoots/production services, these can be organized by TPH at an additional cost, starting at ₹1,50,000 (Rupees One Lakh Fifty Thousand Only) per shoot day, subject to a separate agreement and specific project requirements.
7. Intellectual Property
7.1. Upon full and final payment of all outstanding invoices related to The Quick Content Bundles, TPH grants the Client a non-exclusive, perpetual, worldwide license to use the delivered content for the stated purpose as outlined in Clause 2.
7.2. TPH retains the right to use the created content for its own portfolio and promotional purposes, unless otherwise agreed upon in writing.
8. Limitation of Liability
8.1. TPH shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the content provided, including but not limited to loss of profits, data, or business interruption.
8.2. TPH makes no warranties, express or implied, regarding the effectiveness or specific outcomes of the content for advertising or branding purposes, beyond its stated purpose as per Clause 2.
9. Governing Law & Jurisdiction
9.1. This Agreement shall be governed by and construed in accordance with the laws of India.
9.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
10. Force Majeure
TPH shall not be liable for any failure or delay in performance under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
11. Entire Agreement
This Agreement constitutes the entire understanding between TPH and the Client concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
12. Amendments
No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
